- “We,” “Us,” or “Our”: Refers to Delaphones Limited, a communications service provider based in Accra, Ghana.
- “You” or “Your”: Refers to the individual or entity subscribing to or using our services.
- “Services”: Refers to the Communication Platform as a Service (CPaaS) provided by Delaphones, including buying phone numbers, SIP trunks, IVRs, SMS, airtime, and voice messaging.
- “Your Data”: Refers to all data and information you provide to us through the use of our services.
3. Eligibility
Our services are intended for use by individuals aged 18 years or older. By using our platform, you represent that you meet this age requirement.
4. User Responsibilities
4.1 General Usage
You agree to:
- Use the services in compliance with all applicable laws and regulations.
- Maintain the confidentiality of your account credentials.
- Notify us immediately of any unauthorized access or usage of your account.
4.2 Prohibited Activities
You must not:
- Use the services to send unlawful, defamatory, or discriminatory communications.
- Transmit spam, fraudulent messages, or any content that violates applicable laws.
- Interfere with the performance or integrity of the platform.
4.3 Valid Destinations
You agree to :
-Send sms and calls to only users who have given their consent
-Be responsible for destinations you reach out to
5. Payment and Pricing
5.1 Fees
Fees for our services are outlined on our website. You agree to pay all charges, including applicable taxes, associated with your use of the services.
5.2 Refund Policy
Payments are non-refundable except where mandated by applicable law or explicitly stated in this agreement.
5.3 Billing Disputes
If you believe you have been charged in error, you must notify us within 7 days of the charge, providing evidence to support your claim.
6. Service Availability
We strive to maintain uninterrupted access to our platform. However, availability may be affected by factors beyond our control, including third-party service provider issues, maintenance, or force majeure events.
7. Intellectual Property
All intellectual property rights in the services are owned by Delaphones or its licensors. You are granted a limited, non-exclusive license to use the services solely for their intended purpose.
8. Data Privacy
We handle your data in accordance with our Privacy Policy. You retain ownership of Your Data but grant us the right to use it as necessary to provide the services.
9. Indemnification
You agree to indemnify and hold harmless Delaphone, its affiliates, and agents from any claims, damages, or liabilities arising from:
- Your use of the services.
- Your violation of this agreement or any applicable law.
- Content or campaigns you distribute using our platform.
10. Termination
We reserve the right to suspend or terminate your account immediately if:
- You breach this agreement.
- Your activities violate applicable laws or regulations.
11. Limitation of Liability
Delaphones shall not be liable for any indirect, incidental, or consequential damages arising from your use of the services. Our total liability under this agreement shall not exceed the fees paid by you in the preceding 12 months.
12. Amendments to Terms
We may update these Terms of Service from time to time. Changes will be effective immediately upon posting on our website. Continued use of the services constitutes acceptance of the revised terms.
13. Governing Law
This agreement is governed by the laws of Ghana. Any disputes arising from this agreement shall be resolved in the courts of Ghana.
